Il convient de préciser au préalable que nous ne traiterons de cette matière que de façon limitée :
- nous ne parlerons pas de l'intérêt fiscal direct de l'utilisation d'une holding; nous nous tiendrons à l'aspect «succession»;
- nous prendrons comme optique que celui qui transmettra les titres de la holding est résident fiscal belge au moment de son décès; à défaut, la loi belge, tant fiscale que civile, serait exclue concernant ces titres;
- nous ne parlerons que des holdings belges.
La démarche de créer une holding se réalise rarement dans le cadre unique d'une programmation successorale. En général, le but premier de la création d'une holding est d'alléger la fiscalité directe ou de «cadenasser» le pouvoir dans un groupe. La création d'une holding peut cependant en même temps faciliter la transmission successorale et assurer la pérennité d'un patrimoine.
Les buts «successoraux» sont multiples :
- assurer la conservation d'un bien;
- prévoir la répartition du pouvoir à la génération suivante;
- assurer un partage du patrimoine entre les héritiers sans «détériorer» le patrimoine, ...
Exemple
Deux frères possèdent les actions d'une S.A. patrimoniale dans laquelle se trouvent un château de famille, les terres, les meubles, etc. Ils n'ont pas d'enfants et souhaitent que la propriété reste attachée à la famille sans que les actions de la S.A soient dispersées à chaque génération. Il pourrait par exemple leur être proposé de mettre les actions dans une A.S.B.L. familiale par don manuel. Page 473
Le but n'est pas, dans ce cas, le partage des biens ni la conservation du pouvoir de décision mais bien la conservation du patrimoine dans un but familial.
Exemples
Un restaurateur et son épouse ont créé une S.A. y mettant l'activité de leur restaurant, l'immeuble professionnel et d'autres biens, ... Ils ont deux enfants. Leur fils travaille avec eux, tandis que leur fille s'en désintéresse. Les parents veulent céder leur activité à leur fils mais garder le pouvoir de décision, et ce, sans faire d'inégalité entre leurs deux enfants.
Il pourrait leur être proposé que le fils crée avec ses parents (qui n'auraient qu'une part chacun) une S.C.A. qui rachèterait aux parents les parts de la S.A.. La S.C.A. (holding) paierait...
