Tandis que l'exemption concernait l'entreprise consolidante, les exclusions visent certaines filiales de l'entreprise consolidante; elles sont tantôt obligatoires, tantôt facultatives.
Certaines filiales peuvent être exclues de la consolidation lorsque :
- Une (ou plusieurs) filiale(s) a (ont) une importance négligeable.
Pour évaluer l'importance d'une filiale, il faut établir le caractère significatif ou négligeable de celle-ci par rapport au groupe pris dans son ensemble. Le seuil de signification sera déterminé par le pourcentage d'intérêt détenu par le groupe, d'une part, et par comparaison d'un élément fondamental des comptes statutaires de la filiale par rapport au même élément dans les comptes consolidés, d'autre part. Cet élément fondamental sera généralement : le total du bilan, les capitaux permanents, le chiffre d'affaires ou le résultat de l'exercice.

La filiale sera considérée comme ayant une importance négligeable dès que ce ratio est inférieur à 5 %.
Lorsque plusieurs filiales répondent à cette condition, leurs chiffres doivent être totalisés pour vérifier si, globalement, chacune d'elles peut être exclue.
- Des restrictions graves et durables affectent substantiellement l'exercice du pouvoir de contrôle.
Exemple
En cas de nationalisation, en cas d'expropriation, de guerre civile, etc.
- Les informations nécessaires à l'intégration de la filiale dans la consolidation ne peuvent être obtenues dans des délais raisonnables ou sans coûts excessifs.
Exemple
Filiale dont les documents ont été détruits à la suite d'un incendie, filiale avec laquelle il est impossible de communiquer à la suite d'une guerre civile, normes comptables locales peu élaborées, etc.
- Ses actions ou parts sont détenues exclusivement en vue d'une cession ultérieure.
Ces titres sont enregistrés en «Placements de trésorerie» et peuvent être exclus de la consolidation puisque l'objectif poursuivi par leur détention n'est pas celui du contrôle.
Lorsqu'une filiale est exclue de la consolidation sur base d'une de ces justifications, une mention appropriée dans l'annexe est requise. Page 77
