Sous peine des sanctions prévues par le Code des sociétés, les entreprises qui sont à la tête d'un groupe sont tenues d'établir et de publier des comptes annuels consolidés en conformité avec les dispositions de l'A.R. du 30 janvier 2001.
Les grandes entreprises qui exercent une partie substantielle de leurs activités ou qui trouvent leurs sources de financement à l'étranger («Global Players») devraient pouvoir choisir un autre référentiel que l'A.R. du 30 janvier 2001, sous réserve du respect des dispositions impératives de la 7ème Directive, et moyennant l'accord du Ministre de l'Économie.
Les Bourses de valeur imposent aux entreprises qui veulent y être cotées de présenter des comptes consolidés établis selon des normes reconnues. C'est ainsi que la Bourse de New York impose l'utilisation des normes GAAP (Generally Accepted Accounting Principles). Il en découle l'obligation pour l'entreprise d'établir deux jeux différents de comptes annuels : un jeu légal et un deuxième jeu imposé par les marchés financiers.
Afin d'éviter cette double consolidation, le 19 juillet 2002, le Parlement européen a adopté un règlement qui impose l'application des normes internationales IAS/IFRS aux comptes consolidés des sociétés cotées en Bourse, y compris les banques les entreprises d'assurances.
Les sociétés européennes dont les titres sont admis à la cote du marché réglementé d'un État membre sont tenues d'établir, pour les exercices commençant le 1er janvier 2005 ou après cette date, leurs comptes consolidés conformément aux normes internationales.
De par la nécessité de présenter un exercice antérieur pour permettre les comparaisons, il en résulte que c'est dès le début de l'exercice comptable 2004 que l'information financière doit être conforme aux normes IAS/IFRS.
Une deuxième échéance (janvier 2007) concerne les établissements faisant appel public à l'épargne.
