Le critère de territorialité lié à l’octroi de la déduction pour capital à risque deviendra-t-il ineffectif?

Le 19 septembre 2012, l’avocat général près de la Cour européenne de justice a présenté des conclusions très intéressantes dans une affaire C-350/11 à propos de la prise en compte, au titre de l’impôt des sociétés, de la valeur nette des actifs de l’établissement stable dont la société Argenta dispose aux Pays-Bas pour la détermination du capital à risque, qui sert de base à la déduction du même nom.
Pour rappel, la déduction pour capital à risque, également appelée déduction des intérêts notionnels, consiste à soustraire fictivement de l’assiette de l’impôt sur les sociétés les intérêts censés rémunérer les capitaux propres de la société. Cette déduction est égale au capital à risque, déterminé conformément à l’article 205 ter du Code des impôts sur les revenus 1992, multiplié par un taux fixé à l’article 205 quater du Code.
L’article 205 ter, paragraphe 1, prévoit ainsi que le capital à risque à prendre en considération correspond, sous réserve des corrections apportées par les dispositions des paragraphes suivants, au montant des capitaux propres de la société, à la fin de la période imposable précédente, déterminés conformément à la législation relative à la comptabilité et aux comptes annuels tels qu’ils figurent au bilan.
Aux termes de l’article 205 ter, paragraphe 2, le capital à risque est diminué de la valeur nette des actifs des établissements stables dont les revenus sont exonérés en Belgique en vertu d’une convention de prévention de la double imposition.
Suivant l’avis de la Commission européenne, l’avocat général constate que la Belgique, qui a renoncé, en vertu d’une convention préventive de la double imposition, à imposer les bénéfices d’un établissement stable situé dans un autre Etat membre, refuse d’accorder la déduction pour capital à risque à une société belge, intégralement soumise à l’impôt en Belgique, dont dépend ledit établissement, à concurrence des fonds propres affectés à ce dernier.
