Biens immeubles détenus en usufruit par une société : pas de rejet d’amortissements

La Cour d’appel d’Anvers a rendu, le 31 octobre 2006, un arrêt où se trouve une nouvelle fois consacrée la primauté de l’article 26 du Code sur l’article 49 du Code. Il s’agissait d’une société de pharmaciens qui avait acquis un droit d’usufruit sur un appartement à la mer, tandis que ses gérants en acquéraient la nue-propriété. L’administration avait considéré, assez classiquement, que cette dépense n’avait pas un caractère professionnel dans le chef de la société, au sens de l’article 49 du Code et avait donc rejeté les amortissements actés sur ce droit d’usufruit. L’administration relevait que les frais de l’usufruit ne se rapportaient pas nécessairement à l’activité professionnelle réelle et que la société restait en défaut de démontrer de quelle façon l’investissement contribuait à la réalisation de son objet social. Ce faisant, l’administration se fondait en réalité sur la jurisprudence de la Cour de cassation, qui considère désormais que pour être déductible au titre de frais professionnel, il faut non seulement que la dépense soit nécessaire, c’est-à-dire qu’elle permette d’acquérir ou de conserver des revenus, mais également qu’elle soit conforme à l’activité sociale telle que définie par les statuts. C’est cette jurisprudence très contestable qui permet à l’administration de rejeter la déduction de charges professionnelles exposées par une société dans le cadre d’opérations qui sont étrangères à son objet social, même si celles-ci lui permettent de générer des revenus imposables. C’est cette même jurisprudence qui est classiquement invoquée par l’administration dans les schémas de type immobilier, lorsqu’une société acquiert un bien immeuble et le met en totalité ou partiellement à disposition de son gérant, pour rejeter la déduction des amortissements ou des intérêts, lorsque l’acquisition n’est pas conforme à l’objet social.
