-------------------------------------------------------------------------------------------------- I. Voorwerp van de vordering

1. De vordering, ingesteld op 28 januari 2013, strekt tot de schorsing bij uiterst dringende noodzakelijkheid van de tenuitvoerlegging van “de beslissing van [de NMBS] om de overheidsopdracht ‘CT4/0000133719 – Organiseren van de logistieke diensten voor de bevoorrading van de catering aan boord van de hogesnelheidstrein van de NMBS en van Eurostar International Ltd’ […] aan de inschrijver LSG SkyChefs te gunnen en om de opdracht aldus niet aan [de nv Rail Gourmet Belgium] te gunnen”.

II. Verloop van de rechtspleging

2. De verwerende partij heeft een nota ingediend.

De partijen zijn opgeroepen voor de terechtzitting, die heeft plaatsgevonden op 21 februari 2013, om 10.30 uur.

Staatsraad Pierre Barra heeft verslag uitgebracht.

Advocaat Wim Rasschaert, die verschijnt voor de verzoekende partij, en advocaat Lieve Swartenbroux, die verschijnt voor de verwerende partij, zijn gehoord.

Eerste auditeur Luc Vermeire heeft een met dit arrest eensluidend advies gegeven.

Er is toepassing gemaakt van de bepalingen op het gebruik der talen, vervat in titel VI, hoofdstuk II, van de wetten op de Raad van State, gecoördineerd op 12 januari 1973.

III. Feiten

3.1. Verwerende partij beslist op 4 mei 2012 tot het uitschrijven van een “onderhandelingsprocedure met voorafgaande oproep tot mededinging” met het oog op het sluiten van een dienstencontract voor de logistieke diensten voor de bevoorrading van de catering aan boord van de hogesnelheidstreinen van de NMBS.

De opdracht bestaat uit twee posten als volgt omschreven :

“a) Post 1 : NMBS

Post 1 heeft betrekking op de bevoorrading, op kosten van NMBS Europe, van de Thalys- en TGV-treinen die vertrekken vanuit het station van Brussel-Zuid.

  1. Post 2 : Eurostar International Ltd

Post 2 heeft betrekking op de bevoorrading, op kosten van Eurostar International Ltd, van de Eurostar-treinen die vertrekken vanuit het station van Brussel-Zuid.”

De goedgekeurde “vraag om goedkeuring van wijze van gunnen”, dus het voorstel tot het uitschrijven van deze onderhandelingsprocedure, bepaalt dat wordt geopteerd voor de opmaak van een gezamenlijk diensten-contract, waarbij de NMBS zal optreden als “lead-buyer”; de eerste post zal enkel door de NMBS worden genotificeerd en de tweede post enkel door EIL.

Uit het dossier blijkt dat er inzake de cateringdiensten aan boord van hogesnelheidstreinen een onderscheid is tussen de dienstverlener aan boord van de trein – de “On-board service” of “OBS” – en de dienstverlener die de logistiek van de bevoorrading van deze OBS aan boord verzekert, aangeduid als CAV (“Centre d’avitaillement”; bevoorradingscentrum). Dit laatste is het voorwerp van de voorliggende opdracht.

Thans worden volgens de nota van verwerende partij deze CAV-activiteiten voor de Eurostar- en Thalys-treinen, die in België vanuit het station Brussel-Zuid vertrekken, op basis van een contract dat afloopt op 30 juni 2013 verricht door verzoekende partij.

3.2. De aankondiging van de kwestieuze opdracht wordt op 8 mei 2012 bekendgemaakt in het Bulletin der Aanbestedingen en op 11 mei 2012 in het Publicatieblad van de Europese Unie.

3.3. De kandidaten dienen een aanvraag tot deelneming in en op 30 mei 2012 wordt een lijst met de geselecteerde kandidaten waaronder verzoekende partij en LSG Sky Chefs, goedgekeurd.

3.4. Eveneens op 30 mei 2012 wordt een “Invitation to Negotiate (CT4/0000133719)”, dit is het bestek, goedgekeurd.

Dit bestek bepaalt de volgende gunningscriteria (deel A, art. 14):

“14. Awarding criteria

14.1 In evaluating the ITN Submissions from Bidders, SNCB and EIL will seek the most economically advantageous offer or offers, having regard to the following criteria:

Artikel 15 van het bestek bepaalt onder meer het volgende inzake de beoordelingsmethode:

“15. Scoring Mechanism/Methodology

15.1 SNCB and Eurostar will assess each ITN Submission against the above criteria and will be evaluated using the table below. Each (Sub-)Criteria will get a score that will then be weighted according to the table above in order to calculate a total weighted score. The proposal obtaining the highest weighted score will be considered the best.

Negotiable Articles

The remaining clauses in the draft contract shall be regarded as ‘negotiable’. We do not expect the negotiable clauses to undergo substantial change; however we accept that some contractual articles may require negotiation or additional drafting based on Bidder’s offers.

For the avoidance of any doubt, Bidders are encouraged to offer improved terms to increase the competitiveness of their offer by amendments to the ‘non-negotiable’ and ‘negotiable’ articles. Where Bidders have offered improved terms they should provide brief reasons as to how the clause improves their offer to SNCB and Eurostar.”
